We have extensive experience in negotiating and drafting documentation for development and infrastructure projects, and advising on all required land entitlement matters including planning and environmental permitting.

We have advised major developers in relation to the implementation of projects in Hong Kong, the PRC, Korea and the UK. This experience has included conditions of sale and exchange, private treaty grants and modifications, concession agreements, licences, rail agreements, land resumption, land reclamation and compensation, environmental impact and planning issues.  In major projects this has included the transition from the development to operational phases and continued expansion.

Our clients include operators of resorts, theme parks, container terminals, power companies, hospitals, universities and other educational establishments and commercial and residential developers.

Examples of our experience include:
Infrastructure
  • Advising and negotiating the development of gas receiving terminals including the programme, access agreements, short term tenancies, private treaty land grants and in relation to environmental and planning issues
  • Advising on a gas supply agreement in relation to waste to gas facilities
  • Advising a utility provider in relation to the development of infrastructure facilities over the seabed including the implementation of the Foreshore and Seabed (Reclamation) Ordinance
  • Advising and assisting in negotiations in relation to the proposed rezoning of certain infrastructure facilities in Hong Kong by the Government
  • Acting as sub-consultant to Arup in the preparation of consultancy reports on the legal feasibility of underground cavern development and underground urban development
  • Advising and negotiating the joint development agreement and private treaty land grant in respect of a container terminal in Hong Kong
Resorts
  • Advising upon all real estate aspects of the project documentation negotiation and development of a resort in Hong Kong including the private treaty grant, licences, land resumption, land reclamation, environmental impact and planning issues as well as many regulatory and operational issues including leasing/operational agreements
  • Advising a private developer on the development of a leisure facility in Hong Kong including negotiations with Government and the applicability and proposed adaption of the Heritage Revitalisation Scheme
  • Advising, in conjunction with local counsel, in relation to two resort projects in Korea and Shanghai
  • Advising in relation to a hotel and service apartment complex in Hainan including negotiations with relevant local governmental authorities, land clearance and grant, environmental impact and planning issues
Hospitals
  • Advising an international consortium on the real estate aspects of its bid for a hospital site in Hong Kong and upon the financial and operational constraints imposed under the tender documentation
  • Advising an international hospital operator with regard to redevelopment and use control of private treaty grant site
  • Advising in relation to land grant and other restrictions in relation to the development of a maternity home on private treaty land
  • Advising a private hospital as occupier of leasehold premises at Harley Street, UK which were being substantially refurbished to provide new medical facilities
Education Facilities
  • Advising a university in relation to the Government’s proposed private treaty grant of a university site
  • Advising a foreign school with regard to the site acquisition and development of land in the New Territories
  • Advising a university in relation to the acquisition of part of a building under construction
  • Advising a school operator with regard to redevelopment and use control on a major refurbishment
  • Advising in relation to the disposal of an owner and operator’s interest in a portfolio of schools in Hong Kong
Commercial and Residential
  • Advising a local charity in relation to the joint development of its premises in Hong Kong with a local developer, the charity retaining part of the redeveloped site and residences being available for sale
  • Negotiating and documenting bespoke contracts for a multi-national corporation for the design, construction and lease of a data centre in the New Territories
  • Advising a multinational insurance company and a multinational bank in relation to fit out works to over 500,000 sqf
  • Drafting documentation for the project management and construction of a major retail store
  • Advising a multi-national retailer in relation to the pre-letting of premises under development in Macau
Statutory Compliance

Advising numerous developers and businesses in relation to a broad range of statutory compliance requirements, including the following recent matters:

  • a local developer with regard to site classification and street definition and the requirements of the Building (Planning) Regulations
  • a local developer with regard to the calculation under the Building (Planning) Regulations of the site area of a lot divided by a pathway
  • a brand retailer with regard to the Buildings Ordinance and Building (Minor Works) Regulations in relation to the installation of a removable mezzanine floor racking system
  • a barge operator with regard to the Shipping and Port Control Ordinance and regulations and other maritime ordinances
  • a local developer with regard to the calculation of the site area and plot ratio requirements under the Building (Planning) Regulations in respect of part of a lot under development
  • an international investment fund with regard to the Buildings Ordinance following the issuance various orders and notices in respect of unauthorised building works
  • a hotel operator with regard to statutory requirements in relation to the conversion of an apartment building to micro-living units including the Building Ordinance, the Town Planning Ordinance, Hotel and Guesthouses Ordinance and the Bedspace Apartments Ordinance
  • a chemical manufacturer with regard to the Dangerous Goods Ordinance and Building (Planning) Regulations
